TERMS AND CONDITIONS OF SERVICE

These Terms and Conditions (“Terms”) govern the agreement between Bulldog Snare (“the Company”, “we”, “us”) and the Client (“you”) for the provision of graphic design, web design, hosting, and print services. By commissioning our services, you agree to be bound by these Terms.

1. QUOTATIONS AND CONTRACTS

1.1 All quotes are valid for 30 days from the date of issue. 1.2 A contract is formed when you provide written acceptance of a quote or pay a deposit. 1.3 We reserve the right to withdraw or amend a quote if the project scope changes significantly.

2. PAYMENT TERMS

2.1 Deposits: A non-refundable deposit of 50% is required before work commences on any project.

2.2 Invoicing: Final balance invoices are issued upon project completion but prior to the delivery of final assets or website launch.

2.3 Due Date: All invoices are payable within 7 days of the invoice date unless otherwise agreed in writing.

2.4 Late Payment: We reserve the right to charge interest on overdue invoices under the Late Payment of Commercial Debts (Interest) Act 1998 at a rate of 8% over the Bank of England base rate, plus statutory debt recovery costs.

2.5 Suspension of Service: If an invoice is 30 days overdue, we reserve the right to suspend all ongoing work and take any live websites or hosting services offline until the account is settled.

3. INTELLECTUAL PROPERTY & OWNERSHIP

3.1 All preparatory materials, sketches, and source files (e.g., .psd, .ai, .indd) remain the property of the Company unless otherwise agreed and paid for via a specific “Source File Transfer” fee.

3.2 Upon full payment of all invoices, the Company grants the Client a license to use the final design/website for its intended purpose.

3.3 We reserve the right to display any work produced in our portfolio and marketing materials unless a Non-Disclosure Agreement (NDA) is in place.

4. WEB DESIGN & DEVELOPMENT

4.1 Approvals: Work will be delivered in stages (e.g., Wireframe, Design, Development). Written approval at each stage is final. Changes requested after approval will be billed at our hourly rate.

4.2 Browser Compatibility: Websites are developed to be compatible with the current versions of major modern browsers (Chrome, Firefox, Safari, Edge). We do not guarantee compatibility with legacy browsers (e.g., Internet Explorer).

4.3 Client Content: If a project is delayed by more than 30 days due to the Client’s failure to provide content (text/images), we reserve the right to invoice for the full remaining balance of the project.

5. WEB HOSTING & MAINTENANCE

5.1 Service Level: While we aim for 99.9% uptime, hosting is provided “as is” and “as available.” We are not liable for any losses arising from server downtime or third-party infrastructure failure.

5.2 Renewals: Hosting is billed annually/monthly in advance. Failure to pay hosting renewals by the due date will result in automatic suspension of your website and email services.

5.3 Backups: Unless otherwise stated in your plan, the Client is responsible for maintaining their own backups. The Company is not liable for data loss.

5.4 Security: We are not responsible for websites compromised by weak client passwords or outdated third-party plugins managed by the Client.

6. PRINT & GRAPHIC DESIGN

6.1 Proofing: The Client is solely responsible for final proofreading. We are not liable for errors (spelling, layout, or color) once the Client has provided written approval for print.

6.2 Color Matching: Due to variations in monitor calibration and the printing process, we cannot guarantee a 100% color match between screen and physical print.

6.3 Quantity: A margin of 5% over or under the quantity ordered is deemed acceptable in the printing industry.

7. TERMINATION OF SERVICES

7.1 By the Client: You may cancel a project at any time. However, the deposit is non-refundable, and you will be invoiced for all hours worked up to the point of cancellation.

7.2 Ongoing Services: Hosting or maintenance contracts require 30 days’ written notice prior to the next billing cycle.

7.3 By the Company: We reserve the right to terminate any service immediately if the Client breaches these terms, fails to pay, or acts in an abusive or unprofessional manner.

8. LIABILITY & INDEMNITY

8.1 To the maximum extent permitted by law, the Company shall not be liable for any indirect or consequential loss, loss of profits, or data loss.

8.2 Our total liability for any claim shall not exceed the total amount paid by the Client for the specific project or service in question.

8.3 The Client agrees to indemnify the Company against any claims resulting from the Client’s use of materials that infringe on third-party copyrights.

9. GOVERNING LAW

9.1 These Terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
